HUXsentinel Terms of Service

The Hat Protocol Inc., a Tennessee corporation | Nashville, Tennessee

IMPORTANT LEGAL NOTICE. By installing, activating, or using HUXsentinel or any related service of The Hat Protocol Inc., you agree to these Terms of Service ("Terms") and to our Privacy Policy. These Terms include an arbitration agreement and a class-action waiver (Section 19). If you do not agree, do not install or use HUXsentinel.

1. Definitions

●       "The Hat Protocol," "we," "us": The Hat Protocol Inc., a Tennessee corporation, the owner and developer of HUXsentinel.

●       "HUXsentinel": the safety software installed on a protected device, including its detection engine, ScreenShield, KeyboardShield, alerts, and incident reports.

●       "You": the parent, guardian, caregiver, or adult device owner who installs, configures, and holds authority over HUXsentinel on a device.

●       "Protected person": the person on the protected device whose online activity HUXsentinel protects.

●       "Authority holder": the person who holds the access code for a device: the parent or guardian on a child's device, or the adult on their own device (or a trusted person that adult chooses).

●       "GREEN / YELLOW / RED": HUXsentinel's three levels. GREEN is ordinary activity. YELLOW is a warning sign. RED is a confirmed threat pattern or a repeated warning sign in the same conversation.

●       "ScreenShield" and "KeyboardShield": the controls that cover the screen and pause keyboard input when HUXsentinel steps in.

●       "Shadow Buffer": temporary preservation on the device that begins only at a warning sign and is deleted if the warning signs do not continue.

●       "CSIR" (Cryptographically Sealed Incident Report): an encrypted, tamper-evident incident report. Each incident produces a Parent Report (CSIR #1) and a Sealed Agency Report (CSIR #2).

●       "Access code": the code the authority holder creates at setup to release ScreenShield and manage HUXsentinel.

2. Who may install HUXsentinel

You may install HUXsentinel only on a device you own or have legal authority to manage, and only for a protected person you have the right to protect:

●       Children (under 18). A parent or legal guardian, or a person acting with their authority, may install HUXsentinel on a child's device using the KIDsafe profile.

●       Adults. HUXsentinel may be installed on an adult's device only by that adult or with that adult's knowing consent. The adult chooses the profile, settings, and any trusted contact.

You may not use HUXsentinel to secretly watch, track, or control another adult, or for any unlawful purpose. You are responsible for complying with all laws that apply to you, including consent laws. HUXsentinel does not verify age, diagnosis, or identity; the authority holder chooses the profile at setup.

3. Profiles

HUXsentinel offers profiles designed for different people. The profile sets detection settings, alert routing, and the intervention screen. Not every profile is available at launch.

●       KIDsafe: for all minors under 18.

●       SENIORsafe: for older adults, with a calm intervention screen and protection against sending personal or account information to scammers.

●       SPECTRUMsafe: for neurodivergent adults.

●       VETERANsafe, ADULTsafe, BUSINESSsafe: for veterans, general adults, and organizations, as made available.

4. Your license

4.1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use HUXsentinel on the number of devices covered by your license. Licenses provided at no cost through the HUX Foundation or another sponsor are subject to these same Terms.

4.2. You may not reverse engineer, decompile, or disassemble HUXsentinel; modify it or create derivative works; redistribute, sublicense, or resell it; remove proprietary notices; use it to build a competing product; or attempt to bypass its protections, except as the law expressly allows.

4.3. HUXsentinel contains proprietary technology that is the subject of pending patent applications. HUXsentinel™, The Hat Protocol™, KIDsafe™, SENIORsafe™, SPECTRUMsafe™, VETERANsafe™, ADULTsafe™, BUSINESSsafe™, and ScreenShield™ are trademarks of The Hat Protocol Inc. We keep all rights not expressly granted.

5. How HUXsentinel works

5.1. On the device. HUXsentinel runs on the protected device. It evaluates communications using fixed, version-controlled rules. Given the same input, rules version, and settings, it reaches the same result every time.

5.2. Nothing recorded during ordinary use. GREEN activity is not stored or logged. A warning sign (YELLOW) starts the Shadow Buffer, which preserves the conversation on the device, including periodic full-screen images. If no further warning sign occurs in that conversation within a set period, the Shadow Buffer is deleted and no record is kept.

5.3. Stepping in. On RED, HUXsentinel covers the screen with ScreenShield, pauses keyboard input with KeyboardShield, and disengages the protected person from the conversation. Preservation continues briefly afterward, then the incident reports are sealed. The authority holder releases ScreenShield with the access code.

5.4. Not a surveillance tool. HUXsentinel is a protection system that acts when a threat pattern is detected. The Hat Protocol does not see, review, or keep what happens on the device.

6. Endpoint processing

6.1. HUXsentinel operates only on the device where it is installed, with the authorization of the authority holder. It evaluates communications on that device after they reach it and, where possible, before they are displayed.

6.2. HUXsentinel is not designed to intercept communications in transit on third-party networks, to obtain communications from third-party infrastructure, or to operate as a wiretap or a third-party service that watches communications on someone else's behalf.

7. Alerts

7.1. Two modes. At setup you choose Private Mode (no alerts are sent) or Alert Mode (alerts go to a contact you choose by text message and/or email).

7.2. Content-free. Alerts state only that an incident occurred and when. They never include conversation content, the type of threat, or the app or platform involved.

7.3. Delivery. Alerts are delivered through our relay and messaging providers and depend on networks we do not control. We do not guarantee delivery or timing. The intervention screen states that a trusted person was alerted only if an alert was actually sent.

7.4. Accuracy. Alerts are informational. They are not a finding that any person did anything wrong. You decide what an alert means and what to do.

8. Incident reports (CSIRs)

8.1. When HUXsentinel steps in, it seals two reports on the device. The Parent Report (CSIR #1) is encrypted to a key created for the alert contact at setup and contains no images. The Sealed Agency Report (CSIR #2) is encrypted so that only designated law-enforcement or child-protection agencies can open it. Neither you, the protected person, nor The Hat Protocol can open it.

8.2. In Alert Mode, both reports are emailed to your alert contact in encrypted form. Large agency reports may arrive in several numbered parts; forward all of them. The device deletes its copy of the agency report after delivery is confirmed.

8.3. Whether to forward the Sealed Agency Report, and to which agency, is your decision alone. We do not send reports to any agency, choose an agency for you, or learn your choice.

8.4. Each report is sealed with cryptographic integrity checks and records the rules version and settings in use, so that any change can be detected and the result can be reproduced.

8.5. We do not claim that any report is admissible in any court or will be accepted or acted on by any agency. Admissibility depends on the facts, the foundation presented, and the law of the forum. A report records what HUXsentinel observed and which rules matched; it does not establish that any person committed a crime.

9. Law enforcement

9.1. HUXsentinel is a protective tool chosen by parents, guardians, and adults for themselves. It is not designed to be installed at the direction of law enforcement for an ongoing investigation. Any decision to share a report with law enforcement is yours, and should be voluntary and after the fact.

9.2. No law-enforcement agency directs, controls, or takes part in the operation of HUXsentinel. You act as a private party exercising your own authority over a device you own or manage.

9.3. If a law-enforcement officer, prosecutor, or other government agent advises or directs you to install HUXsentinel for an active investigation, that may create a state-action issue that could affect the use of any record. We strongly recommend that installation decisions be made independently, for protective purposes.

9.4. HUXsentinel may consult law-enforcement agencies, prosecutors, regulators, researchers, financial institutions, child-safety organizations, and other relevant stakeholders regarding threat patterns, investigative utility, safety outcomes, evidentiary considerations, and legal requirements. Such consultation does not give any government agency, institution, commercial entity, or online platform authority to direct or control HUXsentinel’s detection, classification, intervention, or disengagement decisions. Those decisions are governed by HUXsentinel’s deterministic architecture.

9.5. HUXsentinel is not operated on behalf of any law-enforcement agency, government entity, financial institution, or online platform. Following an intervention, the authorized Human In Power retains control over whether preserved information is voluntarily shared or escalated, subject to applicable law, valid legal process, and these Terms.

10. Text message (SMS) alerts

Program. HUXsentinel Alerts sends safety alerts, verification messages, release codes, and alert-contact change notices to the phone number you provide and confirm at setup.

●       Frequency: varies with incidents.

●       Cost: message and data rates may apply.

●       Opt out: reply STOP at any time. You will receive one confirmation and no further messages.

●       Help: reply HELP, or email support@huxsentinel.com.

●       Carriers are not liable for delayed or undelivered messages.

Your phone number and opt-in are never shared with third parties for marketing, as described in our Privacy Policy.

11. Access codes and keys

11.1. The access code is stored on the device only in a protected, non-readable form. The Hat Protocol does not store, receive, or have access to it.

11.2. We cannot recover a lost access code or a lost report key, unlock a device for you, or open a report. Keep a secure physical backup of your codes and keys, stored in a safe place, as instructed at setup.

11.3. Keep your alert contact current. If it is changed, the previous contact is notified.

12. Detection limits

12.1. No detection system is perfect. HUXsentinel may miss threats that use language or methods its rules do not cover, threats in voice or video, threats in apps or networks that limit what it can observe, or new evasion techniques. It may also step in when no threat exists.

12.2. HUXsentinel is not a substitute for supervision, emergency services, or professional help. If anyone is in immediate danger, call 911.

12.3. Rule updates may be released over time. [ATTORNEY/FOUNDER TO CONFIRM: update schedule and any update subscription and price.] HUXsentinel continues to run on the last rules installed.

13. Not for regulated data environments

HUXsentinel is a consumer and family safety product. It is not designed to operate as a HIPAA business associate or in classified, FedRAMP, or similarly regulated data environments, and must not be deployed in such an environment without a separate written agreement with us.

14. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, HUXSENTINEL IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT HUXSENTINEL WILL DETECT OR PREVENT ANY PARTICULAR HARM.

15. Limitation of liability

15.1. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO HUXSENTINEL WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY DOLLARS (US $50).

15.2. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR EMOTIONAL DISTRESS.

15.3. We are not liable for threats HUXsentinel does not detect, for interventions when no threat exists, for actions taken or not taken based on alerts or reports, for the conduct of any third party, or for any harm that occurs while HUXsentinel is installed.

15.4. These limits do not apply where the law does not allow them.

16. Ending use

16.1. You may stop using HUXsentinel at any time by uninstalling it.

16.2. We may end your license if you materially breach these Terms, including by using HUXsentinel to secretly watch an adult, reverse engineering it, or redistributing it. We will give written notice to the email address on file.

16.3. Wind-down. If we end a license for any reason other than unlawful use, HUXsentinel continues to protect the device for thirty (30) days after notice so that the protected person is not left without warning.

16.4. Sections 8, 9, 12, 14, 15, 18, and 19 continue after your use ends.

17. Payments and refunds

[To be completed when pricing and the payment processor are final: license term, renewal, cancellation, and refund policy.]

18. Export compliance

HUXsentinel may be subject to U.S. export control laws. You agree not to export or re-export it to any country, person, or entity prohibited by those laws.

19. Disputes, arbitration, and class-action waiver

19.1. These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules.

19.2. Any dispute arising from or related to these Terms or HUXsentinel will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Tennessee. [ATTORNEY TO CONFIRM venue.]

19.3. Opt-out. You may opt out of arbitration by emailing legal@huxsentinel.com within thirty (30) days after you first install HUXsentinel. Opting out does not affect the rest of these Terms.

19.4. Class-action waiver. Disputes will be resolved individually, not as part of a class, consolidated, or representative action.

20. Changes to these Terms

We may update these Terms by posting a new version here with a new effective date. Material changes (to pricing, liability, data handling, or core functions) will be communicated at least thirty (30) days in advance. Continued use after the effective date means you accept the updated Terms.
